Welcome to Materna Healthcare (“we”, “us”, “our”). These Terms & Conditions (these “Terms”) govern your access to and use of https://www.maternahealthcare.com (the “Site”) and any services, bookings, content, or communications offered through the Site (collectively, the “Services”). By using or accessing the Site or Services, you (“you”, “user”, “patient”) agree to be bound by these Terms. If you do not agree to all of these Terms, you should not access or use the Site or Services.
1.1 Eligibility. You represent and warrant that you are at least 18 years old (or the age of legal majority in your jurisdiction) and are capable of entering into binding agreements.
1.2 Scope. These Terms apply to your use of the Site and the Services. Some portions of the Services (for example, patient portal, medical consultations, etc.) may be further governed by additional terms, agreements, or consent forms (e.g., HIPAA notice, informed consent). In case of any conflict, the additional medical or clinical agreements prevail over these Terms, but only with respect to the conflicting subject matter.
2.1 Lawful Use. You agree to use the Site and Services only for lawful purposes, and in a manner consistent with all applicable laws and regulations, and not to engage in prohibited or unauthorized conduct (e.g. infringing on rights of others, transmitting harmful content, unauthorized access or interference).
2.2 Account & Credentials. If we provide you with user credentials (e.g. to a patient portal), you are responsible for maintaining their confidentiality and for all activity conducted via your account. You must promptly notify us of any unauthorized use or breach.
2.3 Accuracy of Information. You agree that any information you provide (patient data, appointment requests, medical history, contact information, etc.) is accurate, complete, and up to date. You will promptly update any changes.
2.4 Prohibited Activities. Without limitation, you shall not:
3.1 No Medical Advice via Site. The content on the Site (articles, blog posts, descriptions of treatments) is for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider.
3.2 No Doctor–Patient Relationship by Use of Site Alone. Your use of the Site does not create a doctor–patient relationship. A medical/clinical relationship only arises when you formally engage with us as a patient and sign appropriate consent forms.
3.3 Risks & Limitations. All medical treatments or services have associated risks. We do not guarantee any specific outcomes or results.
3.4 Emergencies. Do not use the Site in lieu of emergency medical care. If you believe you are experiencing a medical emergency, seek professional help immediately or call emergency services.
4.1 Booking & Confirmation. If you request or schedule services (e.g. prenatal visits, labs, treatments) via the Site, your booking is subject to confirmation by Materna Healthcare.
4.2 Payment & Insurance. You are responsible for payment of any services not covered by insurance or for which insurance is denied. You must provide accurate insurance information.
4.3 Cancellation / No-Show. If you cancel or reschedule less than [X hours/days] before your appointment (or fail to show), you may be charged a cancellation fee of [amount or policy].
4.4 Refunds. Refunds (if any) will be handled in accordance with our billing policy and applicable laws.
4.5 Changes in Services. We reserve the right to refuse or modify services, or change scheduling, in our discretion consistent with clinical judgment and regulatory standards.
5.1 Ownership. All content on the Site (text, graphics, logos, images, software, designs, trademarks) is owned by or licensed to Materna Healthcare and is protected by copyright, trademark, and other laws.
5.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and use the Services for your personal use, subject to these Terms.
5.3 Restrictions. You may not (unless expressly permitted):
6.1 User Submissions. You may submit or post content (e.g. messages, feedback, reviews). You grant us a nonexclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, adapt, publish, and distribute such submissions in connection with the Site and Services.
6.2 Responsibility. You are solely responsible for user content you submit. It must not violate rights of third parties, be defamatory, infringing, obscene, or otherwise illegal. We may remove or refuse content at our discretion.
6.3 Communications & Electronic Consent. You consent to receive communications (including by email, SMS, or other electronic means) from us regarding your appointments, reminders, billing, updates, or promotional messages (opt-out where applicable and legally required).
7.1 Privacy Policy. Our Privacy Policy (linked on the Site) describes how we collect, use, store, and disclose personal data (including health data). By using the Site or Services, you agree to our Privacy Policy.
7.2 HIPAA & Data Security. We will use commercially reasonable safeguards to protect your health information, as required by HIPAA and applicable laws. However, no security measure is perfect or impenetrable, and we do not guarantee absolute security.
8.1 “As Is” & “As Available.” THE SITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED (INCLUDING IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE).
8.2 No Warranties for Errors. We do not warrant that the Site or Services will be error-free, uninterrupted, secure, or free from viruses or harmful components.
8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATERNA HEALTHCARE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.
8.4 State Laws & Consumer Rights. Some jurisdictions do not allow certain limitations of liability. To the extent such provisions are unenforceable, they shall be severed and the remainder of these Terms enforced.
You agree to defend, indemnify, and hold harmless Materna Healthcare and its officers, directors, employees, agents, and affiliates from and against any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your use of the Site or Services.
10.1 Termination by Us. We reserve the right, in our sole discretion, to suspend or terminate your access to the Site or Services at any time, for any reason, without prior notice.
10.2 Termination by You. You may stop using the Site or Services at any time.
10.3 Effect of Termination. Upon termination, your license to use the Site and Services ceases. Sections that naturally survive termination will continue to apply.
We may revise or update these Terms at any time. When we do so, we will post the updated Terms on the Site with a new “Last Updated” date. Your continued use constitutes acceptance of the updated Terms.
12.1 Governing Law. These Terms are governed by the laws of the State of [State], without regard to conflict of laws principles.
12.2 Dispute Resolution. Any dispute shall first be addressed through good-faith negotiation. If unresolved, it may be submitted to binding arbitration under the rules of [Arbitration Institution] in [City, State].
12.3 Venue & Jurisdiction. If litigation is permitted, the exclusive courts located in [County, State] shall have jurisdiction.
If any provision is found invalid, that portion shall be limited to the minimum extent necessary, and the remainder shall remain in effect. No waiver by us of any breach shall be deemed a waiver of any other breach.
14.1 Entire Agreement. These Terms, together with our Privacy Policy and any other agreements, constitute the entire agreement between you and Materna Healthcare.
14.2 Assignment. You may not assign or transfer your rights under these Terms. We may assign or transfer them in connection with a merger, acquisition, or sale.
14.3 Notices. We may provide notices via email, postings on the Site, or other means.
14.4 Force Majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control (e.g. natural disasters, pandemics, war, government actions).
14.5 Third-Party Links & Services. The Site may contain links to third-party sites or integrate third-party services. We are not responsible for their content, practices, or terms; your use of such services is at your own risk.
